These Terms of Service ("Terms") govern your access to and use of the GoodVice website at www.drinkgoodvice.com , our mobile applications, and any related services, including our SMS/text messaging service (collectively, the "Services"). By accessing or using the Services, placing an order, creating an account, or opting into our messaging service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Services.

GoodVice reserves the right to modify these Terms at any time. We will post the revised Terms on the Site with an updated "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

The Services are intended for individuals who are at least 18 years of age. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. You may not use another person's account without permission, and you may not create an account using false or misleading information. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or malicious activities.

If you access the Services through a mobile application, the following terms also apply:

• App Store Terms. You acknowledge that these Terms are between you and GoodVice and not with the application store from which you downloaded the application (e.g., Apple App Store or Google Play Store) ("App Store"). The App Store has no obligation to furnish any maintenance and support services with respect to the application.
• In-App Purchases. The App Store may handle billing for in-app purchases and subscriptions. In such cases, the App Store's terms and conditions will govern your in-app purchases. You agree to comply with, and your license to use the application is conditioned upon your compliance with, all applicable third-party terms of agreement (e.g., the App Store's terms and policies) when using the application.
• Refunds. Any refunds for purchases made through the App Store will be governed by the App Store's refund policies.

The GoodVice mobile message service (the "Messaging Service") is operated by GoodVice. Your use of the Messaging Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Messaging Service or any of its features without notice.

• Consent. By consenting to GoodVice’s Messaging Service, you agree to receive recurring SMS/text messages from and on behalf of GoodVice through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).
• Voluntary Participation. You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with GoodVice. Your participation in this program is completely voluntary.
• Opt-Out. You may opt-out of the Messaging Service at any time. Text the single keyword command STOP to +18669723219 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other GoodVice mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.
• Help. For Service support or assistance, text HELP to +18669723219 or email hello@drinkgoodvice.com.
• Fees and Carrier Liability. We do not charge for the Messaging Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider. The wireless carriers supported by the Service are not liable for delayed or undelivered messages.
• Your Information. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number. We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.
• Disclaimer. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

GoodVice offers prebiotic fiber shakes and related wellness products designed to support gut health, mood, and energy. All product descriptions, images, pricing, and availability information on the Site are subject to change at any time without notice. We make every effort to display our products as accurately as possible, but we cannot guarantee that your device's display of colors, textures, or other product details will be accurate.

GoodVice products are dietary supplements and are not intended to diagnose, treat, cure, or prevent any disease. The statements made about our products have not been evaluated by the Food and Drug Administration. You should consult with a qualified healthcare professional before using our products, especially if you are pregnant, nursing, have a medical condition, or are taking any medications.

We reserve the right to limit the quantities of any products we offer and to discontinue any product at any time. Product availability may vary based on demand, inventory levels, and other factors. We do not guarantee that any product will be available at the time you place your order.

All prices displayed on the Site are in U.S. dollars and are subject to change without notice. We reserve the right to correct any pricing errors on the Site, even after an order has been submitted. If a pricing error is discovered after you have placed an order, we will notify you and give you the option to proceed with the order at the correct price or cancel your order for a full refund.

Payment is due at the time you place your order. We accept major credit cards, debit cards, and other payment methods as indicated on the Site. By providing payment information, you represent and warrant that you are authorized to use the payment method and that the information you provide is accurate and complete.

Your payment information will be processed by our third-party payment processors in accordance with their terms and privacy policies. GoodVice does not store your full credit card information on our servers. All payment transactions are subject to validation and authorization by your payment provider.

When you place an order through the Site, you are making an offer to purchase the products in your order. All orders are subject to acceptance by GoodVice. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, suspected fraudulent or unauthorized transactions, or violations of these Terms.

After you place an order, you will receive an email confirmation acknowledging receipt of your order. This confirmation does not constitute our acceptance of your order. Your order is accepted when we ship the products and send you a shipping confirmation email with tracking information.

We reserve the right to limit order quantities per person, household, or order. If we cancel an order after your payment has been processed, we will issue a full refund to your original payment method.

GoodVice currently ships to addresses within the United States, including Alaska and Hawaii. We do not ship outside of the United States at this time. Shipping costs, delivery timelines, and geographic restrictions are detailed in our Shipping Policy, which is incorporated into these Terms by reference.

As part of our introduction, we currently offer free shipping on all orders within the contiguous United States. This applies to both 14-day trial packs and 28-day subscription orders. After the introductory period, free shipping will continue for all subscription orders. For customers in Alaska and Hawaii, shipping is available for an additional fee calculated at checkout.

During our launch period, shipping timelines will vary based on order volume and inventory availability. Your estimated ship date will be clearly displayed at checkout before you complete your purchase. Please review this date carefully. Once your order ships, delivery typically takes 5-7 business days. You will receive a tracking number via email when your order is dispatched.

Title and risk of loss for products pass to you upon delivery to the shipping carrier. You are responsible for providing a complete and accurate shipping address. GoodVice is not responsible for delays or delivery failures caused by incorrect address information, carrier delays, or circumstances beyond our control.

GoodVice offers subscription services that allow you to receive regular shipments of our products. When you enroll in a subscription, you authorize us to charge your payment method on a recurring basis according to the subscription frequency you select (e.g., every 14 days, every 28 days).

Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You may cancel, pause, or modify your subscription at any time through your account settings on the Site or by contacting us at hello@drinkgoodvice.com. Changes to your subscription must be made at least 48 hours before your next scheduled shipment to ensure they take effect for that billing cycle.

Subscription pricing may be subject to change. We will notify you of any price changes at least 30 days before they take effect. If you do not agree to the new pricing, you may cancel your subscription before the price change becomes effective.

If a scheduled subscription payment fails due to an expired or invalid payment method, we will attempt to notify you and provide an opportunity to update your payment information. If we are unable to process payment after multiple attempts, your subscription may be suspended or canceled.

For subscriptions managed through a mobile application, billing and cancellation may be governed by the terms and conditions of the respective app store (e.g., Apple App Store or Google Play Store). Please refer to the app store's policies for managing in-app subscriptions.

We want you to feel confident trying GoodVice. If you are not satisfied with your purchase, we accept refunds and returns. To initiate a return or request a refund, please contact us at hello@drinkgoodvice.com within 14 days of receiving your order. The cost of return shipping will be the responsibility of the sender.

Our complete refund and return procedures, including eligibility requirements and processing timelines, are detailed in our Refunds and Returns Policy, which is incorporated into these Terms by reference. For purchases made through a mobile application, refund policies of the respective app store may also apply.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that may harm GoodVice or users of the Services.
• Impersonate or attempt to impersonate GoodVice, a GoodVice employee, another user, or any other person or entity.
• Use any automated system, including but not limited to robots, spiders, or scrapers, to access the Services for any purpose without our express written permission.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
• Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Services.
• Use the Services to transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.

The Services may allow you to post product reviews, comments, feedback, and other user-generated content ("User Content"). You retain ownership of any User Content you submit, but by posting User Content to any public area of the Services, you grant GoodVice a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that you own or control all rights to the User Content you post, that the User Content is accurate, and that use of the User Content does not violate these Terms and will not cause injury to any person or entity. You agree not to post User Content that is unlawful, defamatory, obscene, threatening, invasive of privacy, infringing of intellectual property rights, or otherwise objectionable.

We reserve the right, but are not obligated, to monitor, edit, or remove any User Content that we determine in our sole discretion violates these Terms or is otherwise objectionable. We are not responsible for the accuracy, use, or misuse of any User Content posted by users.

The Services and their entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, audio, design, selection and arrangement, and the GoodVice trademarks, logos, and brand elements, are owned by GoodVice, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as necessary to use the Services for their intended purpose or as expressly permitted by these Terms.

You may not use any GoodVice trademarks, logos, or brand elements without our prior written permission. Any unauthorized use of the Services or their contents may violate copyright, trademark, and other laws and may result in criminal or civil penalties.

GoodVice products are dietary supplements intended to support general wellness. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition. The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, GoodVice disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall GoodVice's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to GoodVice in the twelve (12) months prior to the claim, or one hundred dollars ($100), whichever is greater.

You agree to defend, indemnify, and hold harmless GoodVice, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

These Terms and any dispute or claim arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Florida, United States.

Arbitration Agreement: You and GoodVice agree that any dispute, claim, or controversy arising out of or relating to these Terms will be settled by binding arbitration.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Services will immediately cease.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

No waiver by GoodVice of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

These Terms, together with our Privacy Policy, Refunds and Returns Policy, and Shipping Policy, constitute the entire agreement between you and GoodVice regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Services.
